1. Acceptance of Terms
These Terms of Service (the Terms) constitute a legally binding agreement between you (whether individually or on behalf of an entity) and NURE Paris LLC, a Wyoming limited liability company with its principal place of business at 75 E 3RD St Ste 7, Sheridan, WY 82801-3674, United States (NURE Paris, we, us, or our).
By accessing or using the website located at https://www.nureparis.lol (the Website), engaging our professional services, or interacting with us through any channel, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Website and our services.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
NURE Paris provides computer systems design and related professional services, including but not limited to:
- Computer systems architecture design and engineering;
- Custom software development and application engineering;
- Cloud infrastructure architecture, migration, and management;
- Cybersecurity assessment, design, and monitoring;
- Systems integration and middleware development;
- Technology consulting and strategic advisory services;
- Technical project management and quality assurance.
The specific scope, deliverables, timeline, and fees for any engagement shall be defined in a separate written agreement, statement of work, or master service agreement executed by both parties (each, a Services Agreement). In the event of any conflict between these Terms and a Services Agreement, the Services Agreement shall govern.
3. Intellectual Property Rights
3.1 Our Intellectual Property
The Website and all of its contents — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code, and software — are the exclusive property of NURE Paris or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The NURE Paris name, the NP monogram logo, and all related marks are trademarks of NURE Paris LLC.
You may access and view the content on the Website for your personal, non-commercial use. You may print one copy of any page for your records. Any other use — including reproduction, modification, distribution, transmission, republication, display, or performance — is strictly prohibited without our prior written consent.
3.2 Work Product
Unless otherwise specified in a Services Agreement, upon full payment for services rendered, NURE Paris assigns to the client all rights, title, and interest in the custom deliverables created specifically for that engagement (Work Product). NURE Paris retains ownership of all pre-existing materials, tools, libraries, frameworks, methodologies, and know-how used in the creation of Work Product (Background IP), and grants the client a perpetual, irrevocable, worldwide, royalty-free license to use such Background IP solely as incorporated into the Work Product.
3.3 Client Materials
You retain all ownership rights in any materials, data, content, or intellectual property that you provide to us in connection with our services (Client Materials). You grant NURE Paris a limited, non-exclusive license to use Client Materials solely as necessary to perform the services under the applicable Services Agreement.
4. User Conduct and Obligations
When using the Website, you agree not to:
- Violate any applicable federal, state, local, or international law or regulation.
- Transmit any material that is defamatory, obscene, harassing, or otherwise objectionable.
- Upload or transmit viruses, malware, Trojan horses, worms, or any other malicious code.
- Attempt to gain unauthorized access to any portion of the Website, our servers, or any systems or networks connected to the Website.
- Interfere with or disrupt the operation of the Website or the servers or networks hosting it.
- Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Use the Website to build a competitive product or service, or for any competitive benchmarking purposes.
5. Disclaimer of Warranties
THE WEBSITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NURE PARIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NURE PARIS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION ON THE WEBSITE. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.
For professional services engagements, the warranties applicable to specific deliverables shall be set forth in the governing Services Agreement. In the absence of such provisions, NURE Paris warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NURE PARIS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBCONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, OUR SERVICES, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF NURE PARIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NURE PARIS'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO NURE PARIS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
THE LIMITATIONS IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
7. Indemnification
You agree to defend, indemnify, and hold harmless NURE Paris LLC and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or relating to:
- Your use of the Website or our services in violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Any Client Materials you provide to us, including claims that such materials infringe a third party's intellectual property rights;
- Your gross negligence, willful misconduct, or fraud.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses.
8. Confidentiality
In the course of our relationship, each party may disclose to the other confidential or proprietary information, including but not limited to trade secrets, business plans, technical specifications, source code, client data, security protocols, and financial information (Confidential Information).
Each party agrees to (a) hold all Confidential Information of the disclosing party in strict confidence; (b) use Confidential Information solely for the purpose of performing obligations or exercising rights under these Terms or a Services Agreement; and (c) not disclose Confidential Information to any third party without the disclosing party's prior written consent, except to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.
These confidentiality obligations shall not apply to information that (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is independently developed by the receiving party without use of Confidential Information; or (iv) is required to be disclosed by law, regulation, or court order, provided the receiving party gives prompt notice to the disclosing party to allow it to seek a protective order.
9. Payment Terms
The fees, payment schedule, invoicing procedures, and expense reimbursement policies for our professional services shall be set forth in each Services Agreement. Unless otherwise specified in the Services Agreement:
- Invoices are payable net thirty (30) days from the invoice date.
- Late payments shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.
- All fees are exclusive of applicable taxes, duties, and levies, which shall be your responsibility.
- We reserve the right to suspend or terminate services if any invoice remains unpaid for more than forty-five (45) days past its due date.
10. Term and Termination
These Terms shall remain in full force and effect while you use the Website or our services. With respect to professional services, the term of each engagement shall be as specified in the applicable Services Agreement.
We reserve the right to suspend or terminate your access to the Website at any time, with or without cause, and with or without prior notice. We may also modify, suspend, or discontinue any aspect of the Website at our sole discretion without liability.
Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. The provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, confidentiality, and governing law — shall so survive.
11. Third-Party Services
The Website may integrate with, link to, or reference third-party products, services, websites, or content that are not owned or controlled by NURE Paris. We do not endorse, and we assume no responsibility for, the content, privacy policies, or practices of any third-party services. You access and use third-party services at your own risk, and we encourage you to review their terms and policies before engaging with them.
12. Modifications to the Terms
NURE Paris reserves the right to modify or replace these Terms at any time in its sole discretion. When we make material changes, we will update the Effective Date at the top of this page and post a notice on the Website. We may also notify you by email if you have an active Services Agreement with us.
Your continued use of the Website or our services after any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Website and our services. It is your responsibility to review these Terms periodically for changes.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Any dispute, claim, or controversy arising out of or relating to these Terms — including the breach, termination, enforcement, interpretation, or validity thereof — shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue available legal remedies. The parties agree that any litigation shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
14. General Provisions
- Entire Agreement: These Terms, together with any Services Agreement, constitute the entire agreement between you and NURE Paris concerning the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties original intent.
- Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to enforce any provision shall not constitute a waiver.
- Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
- Force Majeure: Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, epidemics, government orders, internet outages, or third-party service failures.
- Relationship of the Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and NURE Paris. Each party is an independent contractor.
- Notices: All legal notices under these Terms shall be in writing and delivered to NURE Paris at 75 E 3RD St Ste 7, Sheridan, WY 82801-3674, United States, with a copy by email to eric.allen@nureparis.lol. Notices to you may be sent to the email address you provide to us.
